TermsofService

The terms on which you may use this website, and the terms that sit behind the software and web services we deliver to clients.

01

About these terms

These terms govern your use of this website and, where they apply, the services Blank Software Ltd provides. By using this site you accept them. If you do not accept them, please do not use the site.

If we have signed a separate written agreement, proposal or statement of work with you, that document governs that engagement. Where it conflicts with these terms, that document wins.

02

Using this website

You may read and use this site for your own information and to evaluate working with us. You may not:

  • Use it for any unlawful purpose, or in a way that breaches anyone else’s rights.
  • Attempt to gain unauthorised access to any part of it, our internal portal included, or to any system or network connected to it.
  • Interfere with it, introduce malicious code, or place an unreasonable load on it.
  • Scrape, harvest or systematically extract content from it without our written permission.

The internal portal is for authorised staff only. Access attempts by anyone else are unauthorised.

03

Intellectual property

Everything on this site, including its text, design, code, layout and images, is owned by Blank Software Ltd or used with permission, and is protected by copyright and other intellectual property laws.

You may not copy, reproduce, republish or adapt any of it for commercial purposes without our written permission. Product names, screenshots and logos belonging to our clients remain their property and are shown here with their permission.

Ownership of work we build for a client is set out in the agreement for that engagement, not here.

04

Client engagements

Nothing on this site is an offer to contract. Prices, timeframes and scope described here are indicative. Work begins once we have agreed a written proposal, quote or statement of work with you.

Where we deliver work, you agree to give us the access, information, content and approvals we reasonably need, and to do so in time. Delays on your side may move delivery dates and may affect cost.

Changes to agreed scope are handled in writing, and may change the price and the timeline.

05

Fees and payment

Fees, payment schedules and any deposit are set out in the relevant quote, proposal or statement of work. Unless it says otherwise, invoices are payable within 14 days of the invoice date.

Where GST applies it will be shown separately. We may suspend work on overdue accounts, and we may recover reasonable costs of collection.

06

Third parties

This site links to other websites, and the software we build may rely on third-party platforms and services. We do not control them, we are not responsible for their content, availability or practices, and a link is not an endorsement.

Where a project depends on a third-party service, that service’s own terms, pricing and availability apply, and changes on their side may affect the work.

07

Availability

We aim to keep this site available and accurate, but we do not guarantee it will be uninterrupted or error-free. We may change, suspend or withdraw any part of it at any time without notice.

Availability commitments for delivered software are set out in the relevant agreement or service agreement, not here.

08

Disclaimers

The content on this site is general information. It is not professional advice, and you should not rely on it for your particular circumstances without taking advice.

To the extent the law allows, this site is provided as-is, and we exclude implied warranties about it.

09

Consumer guarantees

Nothing in these terms limits your rights under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other law that cannot lawfully be excluded.

Where you acquire our services for the purposes of a business, section 43 of the Consumer Guarantees Act and section 5D of the Fair Trading Act apply, and the guarantees and provisions in those Acts are excluded to the extent those sections permit. You agree that this exclusion is fair and reasonable.

10

Liability

Subject to the section above, and to the extent the law allows, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business opportunity, or loss or corruption of data, however it arises.

Our total liability in connection with an engagement is limited to the fees you have paid us for that engagement in the twelve months before the claim arose. Our total liability in connection with your use of this website is limited to NZ$100.

11

Indemnity

You indemnify us against loss, damage and cost arising from your breach of these terms, your unlawful use of this site, or from content or material you supply to us that infringes someone else’s rights.

12

Privacy

We handle personal information in accordance with our Privacy Policy, which forms part of these terms.

13

Governing law

These terms are governed by the laws of New Zealand, and you submit to the non-exclusive jurisdiction of the New Zealand courts.

14

Changes to these terms

We may update these terms from time to time. The version on this page is the current one, and the date it was last updated is shown at the top. Changes do not affect an engagement already underway; those are governed by the agreement for that engagement.
